Terms and Conditions of Sale

 

Chiropractic Tables Australia Pty Ltd

 

1. General

1.1 These Terms and Conditions apply to all sales of products by Chiropractic Tables Australia Pty Ltd (“Company”, “we”, “us”).

1.2 By placing an order, the customer (“Customer”, “you”) agrees to be bound by these Terms.

1.3 These Terms prevail over any terms provided by the Customer unless agreed in writing by the Company.

 

2. Orders and Acceptance

2.1 All orders are subject to acceptance by the Company.

2.2 The Company reserves the absolute right to:

  • Accept or reject any order for any reason
  • Cancel, suspend, or withdraw from any sale prior to delivery
  • Limit supply or quantities at its discretion

2.3 No order is binding until confirmed in writing by the Company.

 

3. Pricing and Payment

3.1 All prices are in AUD and may exclude GST, freight, installation, and handling unless stated.

3.2 Payment terms are at the sole discretion of the Company.

3.3 The Company may vary pricing at any time prior to order confirmation.

3.4 The Company may withhold supply if payment terms are not strictly met.

 

4. Deposits (Strictly Non-Refundable)

4.1 All deposits are strictly non-refundable under any circumstances, including but not limited to:

  • Change of mind
  • Business closure
  • Financing issues
  • Delays outside Company control

4.2 Deposits secure production allocation and inventory commitment and are not transferable.

 

5. Custom Orders

5.1 Any product built, modified, or sourced specifically for the Customer is deemed a custom order.

5.2 Custom orders cannot be cancelled, refunded, or returned once production or procurement has commenced.

 

6. Cancellations & Change of Mind

6.1 If the Company, at its sole discretion, agrees to a cancellation:

  • A restocking fee equal to 50% of the total purchase price will apply
  • Additional costs (freight, handling, admin, storage, customisation) will be deducted

6.2 No cancellations are permitted once goods have been dispatched.

 

7. Finance Clause

7.1 All orders are final and not conditional on the Customer obtaining finance.

7.2 Failure to secure finance does not entitle the Customer to cancel, delay, or receive a refund.

7.3 The Customer remains fully liable for payment of the order.

 

8. Delivery and Risk

8.1 Delivery timeframes are estimates only and are not guaranteed.

8.2 The Company is not liable for delays caused by third parties or events outside its control.

8.3 Risk passes to the Customer upon dispatch or collection.

8.4 The Customer is responsible for:

  • Site access
  • Safe unloading
  • Installation readiness

 

9. Title of Goods

9.1 Ownership of goods remains with the Company until full payment is received.

9.2 The Company may recover goods without notice if payment is not made.

 

10. Returns and Faults

10.1 Returns are only accepted where required under Australian Consumer Law.

10.2 The Customer must inspect goods and report issues within 48 hours of delivery.

10.3 Minor cosmetic imperfections not affecting function are not defects.

10.4 The Company may repair, replace, or credit at its discretion.

 

11. Warranty

11.1 All new products supplied by the Company are covered strictly by the manufacturer’s warranty only.

11.2 The Company acts solely as an intermediary between the Customer and the manufacturer for all warranty matters and is not directly responsible or liable for:

  • Warranty approvals or rejections
  • Repair timelines
  • Replacement decisions
  • Manufacturer performance or obligations

11.3 The Customer agrees that all warranty claims are subject to the manufacturer’s terms, conditions, and processes.

Used / Refurbished Equipment Warranty

11.4 Used or refurbished tables supplied by the Company include a limited 12-month parts-only warranty.

11.5 This warranty strictly excludes:

  • Labour or service costs
  • Technician call-out fees
  • Installation or removal costs
  • Freight, shipping, or return costs
  • Travel or accommodation expenses
  • Any indirect or consequential costs

11.6 Any parts supplied under warranty must be installed at the Customer’s expense and risk.

General Warranty Exclusions

11.7 All warranties (manufacturer or otherwise) do not cover:

  • Misuse, neglect, or improper operation
  • Incorrect installation or handling
  • Normal wear and tear
  • Unauthorised repairs or modifications
  • Damage caused during transport not arranged by the Company

 

12. Limitation of Liability

12.1 To the maximum extent permitted by law:

  • Liability is limited to the value of goods supplied
  • The Company is not liable for indirect or consequential loss

12.2 This includes but is not limited to:

  • Loss of income
  • Business interruption
  • Patient impact
  • Operational downtime

 

13. Chargeback Protection

13.1 The Customer agrees to contact the Company to resolve any dispute before initiating a chargeback.

13.2 Unjustified chargebacks constitute a breach of these Terms.

13.3 The Customer is liable for:

  • All chargeback amounts
  • Associated fees
  • Administrative and recovery costs

 

14. Late Payment Penalties

14.1 Any invoice not paid by the due date may incur interest at 25% per annum, calculated daily.

14.2 Any invoice outstanding beyond 90 days will incur:

  • A $200 administration fee, and
  • All debt recovery, legal, and collection costs

14.3 The Company may suspend supply or cancel orders until accounts are settled in full.

 

15. Personal Guarantee (For Companies)

15.1 Where the Customer is a company, trust, or other entity, the director(s) or authorised signatory personally guarantee payment of all amounts owing.

15.2 This guarantee is:

  • Continuing
  • Irrevocable
  • Enforceable regardless of changes in company structure

 

16. Storage Fees

16.1 If delivery is delayed by the Customer, storage fees may apply at a daily rate determined by the Company.

16.2 Goods not collected within 30 days may be resold without notice.

 

17. Force Majeure

17.1 The Company is not liable for delays or failure due to events beyond its control, including:

  • Supply chain disruptions
  • Freight delays
  • Natural disasters
  • Government restrictions

 

18. Indemnity

18.1 The Customer indemnifies the Company against any claims arising from:

  • Use of the products
  • Improper installation or handling
  • Third-party injury or loss

 

19. Use of Products

19.1 Products must be used in accordance with professional standards.

19.2 The Company accepts no liability for misuse or unintended application.

 

20. Legal Jurisdiction

20.1 These Terms are governed by the laws of the Australian Capital Territory.

20.2 All disputes are subject to the exclusive jurisdiction of that state.

 

21. Amendments

21.1 The Company may update these Terms at any time.

21.2 The applicable Terms are those in effect at the time of order.
